Terms and Conditions

1. Ownership and Intellectual Property
All footage and deliverables remain the exclusive property of OCONNOR Ltd until payment is made in full.

2. Payment Terms
Payments are due as and when invoiced unless otherwise arranged. OCONNOR Ltd reserves the right to suspend work or delivery if payments are late or withheld.

3. Copyright and Usage
Upon receipt of full payment, copyright in the final produced work is vested in the Client. OCONNOR Ltd retains the right to use work produced outside of this specific agreement for the benefit of OCONNOR Ltd.

4. Review Process | Frame.io Project Terms

  • Review and Approval Platform: Frame.io is the designated platform for the review, feedback, and final approval of all video assets. The Client agrees to provide all feedback, edit notes, and change requests exclusively through the Frame.io interface.

  • Timely Feedback: To ensure adherence to production schedules, the Client agrees to provide feedback on uploaded drafts within 48 hours of notification. Delays in feedback may result in corresponding shifts in delivery timelines.

  • Content Uploads: Where the Client is responsible for uploading source footage or assets to Frame.io, the Client assumes full responsibility for the integrity, file quality, and legal permissions (including copyright) of all uploaded materials.

  • Connectivity and Access: OCONNOR Ltd is not liable for delays resulting from the Client’s internet connectivity issues or technical difficulties accessing the Frame.io platform.

  • Archival and Data Retention: Upon project completion and final sign-off, OCONNOR Ltd reserves the right to archive or remove project files from the Frame.io workspace after 30 days. It is the Client’s responsibility to download and secure final deliverables during the active project window.

5. Confidentiality
Both parties shall observe strict confidentiality regarding any sensitive information, project details, or data shared during the performance of services, enduring beyond the term of the project.

6. Dispute Resolution
In the event of a grievance, both parties agree to resolve the dispute through an independent conciliator appointed by mutual consent.

7. Force Majeure
Obligations will be suspended if either party is unable to perform duties due to events beyond their reasonable control, such as acts of God, natural disasters, or civil disturbances.
